KindEye Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the KindEye application, website, and related services (collectively, the "Service") operated by Virtual Dedication Ltd., a company organized under the laws of Bulgaria ("KindEye", "we", "us", or "our").

These Terms constitute a legally binding agreement between you ("you", "your", "User", or "Customer") and KindEye. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use the Service.


1. Acceptance of Terms

By creating an account, downloading, installing, accessing, or otherwise using the KindEye Service in any manner, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any other policies referenced herein. If you are accepting these Terms on behalf of a household, family, or other group, you represent and warrant that you have the authority to bind all members of that group to these Terms.

Your continued use of the Service following any modifications to these Terms constitutes your acceptance of such modifications. If you do not agree to these Terms or any future changes, you must discontinue use of the Service immediately.


2. Eligibility

To use the Service, you must meet all of the following eligibility requirements:

  • Age: You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract in your jurisdiction of residence.
  • Parental or Guardian Status: You must be the biological parent, adoptive parent, or legal guardian of the minor child or children whose device activity you intend to monitor through the Service.
  • Authority Over Device: You must be the lawful owner of, or have full legal authority to install monitoring software on, each device on which the KindEye client software is deployed. You must have the legal right under applicable law to monitor the activity occurring on that device.
  • Residency: You must NOT be a resident of, domiciled in, or physically located within the European Union (EU), the European Economic Area (EEA), Switzerland, or the United Kingdom (UK). The Service is not offered, marketed, or made available to individuals in these jurisdictions.
  • Not a Prohibited Person: You must not be barred from using the Service under the laws of the United States or any other applicable jurisdiction, and you must not be listed on any U.S. government list of prohibited or restricted parties.

By using the Service, you represent and warrant that you satisfy all of the foregoing eligibility requirements. KindEye reserves the right to request verification of eligibility at any time and to suspend or terminate your account if any representation is found to be false.


3. Geographic Restrictions

THE SERVICE IS NOT INTENDED FOR, OFFERED TO, OR AVAILABLE TO RESIDENTS OF THE EUROPEAN UNION, EUROPEAN ECONOMIC AREA, SWITZERLAND, OR THE UNITED KINGDOM.

KindEye currently offers the Service only to residents of the United States, Canada, Australia, and other non-EU/EEA/UK jurisdictions where the Service is lawful. We do not direct marketing to, nor do we knowingly accept customers from, the EU, EEA, Switzerland, or the UK. We have not undertaken the compliance measures required by the EU General Data Protection Regulation (GDPR), the UK GDPR, or related European privacy frameworks, and we make no representations regarding compliance with such laws.

To enforce this restriction, KindEye employs:

  1. IP-Based Geo-Blocking: We use IP geolocation technology to restrict account creation and Service access from IP addresses associated with prohibited jurisdictions.
  2. User Attestation: As a condition of account creation and continued use, you affirmatively represent and warrant that you are not a resident of, domiciled in, or physically located within any prohibited jurisdiction.

If you access the Service from a prohibited jurisdiction, whether through the use of a virtual private network (VPN), proxy, false attestation, or otherwise, you do so in violation of these Terms and at your own risk. KindEye disclaims any and all responsibility for such unauthorized use and reserves the right to immediately suspend or terminate any account found to originate from a prohibited jurisdiction, without refund.


4. Account Registration

To access most features of the Service, you must create an account. When registering, you agree to:

  • Provide Accurate Information: Submit true, accurate, current, and complete information about yourself and keep such information up to date.
  • Maintain Security: Choose a strong password, safeguard your login credentials, and not share your account with any third party. You are solely responsible for all activity occurring under your account.
  • Notify Us of Unauthorized Use: Promptly notify KindEye of any unauthorized access to or use of your account, or any other suspected breach of security.
  • One Account Per Family: Each household or family unit is permitted to maintain a single KindEye account. Creating multiple accounts to circumvent plan limits, free-tier restrictions, or enforcement actions is prohibited.

KindEye is not liable for any loss or damage arising from your failure to comply with these account security obligations.


5. The Service

KindEye provides an AI-assisted parental monitoring Service designed to help parents and guardians oversee the digital activity of their minor children on Windows desktop computers. Features may include, without limitation:

  • Periodic capture of encrypted screenshots from the monitored device;
  • AI-assisted analysis of captured content using third-party large language model providers (including Anthropic's Claude);
  • Browser history tracking;
  • DNS-level filtering and blocking of adult or otherwise objectionable websites;
  • Alerts, summaries, and reports delivered to the parent or guardian via a web dashboard.

No Guarantee of Detection. You acknowledge and agree that the Service is a supplemental tool intended to assist parents in supervising their children's digital activity. KindEye does NOT guarantee that the Service will detect, identify, flag, block, or prevent all dangerous, inappropriate, harmful, illegal, or objectionable content, communications, contacts, behaviors, or threats. Online risks evolve rapidly and no automated system can catch every danger.

AI Is Not Infallible. Artificial intelligence and machine learning systems are probabilistic and may produce inaccurate, incomplete, or misleading analyses. The Service may generate false positives, false negatives, or misinterpret content, context, tone, or intent. You agree not to rely solely on the Service for child safety decisions and to supplement it with active parental engagement.

No Substitute for Parental Supervision. The Service is a tool and is not a replacement for attentive, hands-on parenting, direct communication with your child, or professional guidance where appropriate.


6. Subscriptions and Billing

6.1 Plans

KindEye offers the following plan tiers:

  • Free Tier: One (1) monitored device and up to six (6) AI-assisted screenshot analyses per day, subject to fair-use limits.
  • Paid Plans: Subscription plans starting at $4.99 and $9.99 per month (or such other prices as KindEye may publish from time to time), offering additional devices, higher analysis limits, and premium features.

KindEye reserves the right to modify plan features, pricing, and limits at any time. Material changes to your existing paid plan will be communicated with reasonable advance notice.

6.2 Payment Processing

All paid subscriptions are processed through Stripe, Inc. ("Stripe"), a third-party payment processor. By purchasing a subscription, you agree to Stripe's terms of service and privacy policy. KindEye does not store your full payment card details on its own servers. You represent that you are authorized to use the payment method you provide.

6.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually, as selected) at the then-current rate until you cancel. By subscribing, you authorize KindEye and Stripe to charge your payment method on a recurring basis. You may cancel auto-renewal at any time through your account dashboard; cancellation will take effect at the end of the current billing period.

6.4 Refund Policy

KindEye offers a sixty (60) day money-back guarantee on all paid subscriptions for new customers. If you are not satisfied with the Service, you may request a full refund within sixty (60) days of your initial paid subscription by contacting customer support. After the 60-day period, all fees are non-refundable except where required by applicable law. Refunds are not provided for partial months of service, unused features, or renewal charges following the initial 60-day window.

6.5 Taxes

Listed prices do not include applicable sales, use, value-added, or other taxes. You are responsible for all taxes associated with your purchase, except taxes based on KindEye's net income.


7. Acceptable Use

The Service is licensed to you solely for lawful monitoring of minor children (under the age of 18) for whom you are the parent or legal guardian, on devices you own or have full legal authority to administer.

You expressly agree that you will NOT use the Service to:

  • Monitor any adult (person aged 18 or older), including but not limited to spouses, romantic partners, adult family members, roommates, friends, or acquaintances;
  • Monitor employees, contractors, students, or any person in an employment, commercial, educational, or institutional context;
  • Monitor any person whose device you do not own or lack the legal authority to monitor;
  • Monitor any minor for whom you are not a parent or legal guardian, without the express written consent of that minor's parent or legal guardian;
  • Engage in stalking, harassment, domestic abuse, coercive control, or any form of unlawful surveillance;
  • Violate any federal, state, local, or international law, including wiretapping, electronic communications privacy, computer fraud, or anti-stalking laws.

KindEye is strictly a parental monitoring tool. Any use of the Service for non-consensual surveillance of adults or for any unlawful purpose is a material breach of these Terms and may constitute a criminal offense. KindEye will cooperate with law enforcement in investigating any reported misuse.


8. Child Privacy and COPPA

KindEye takes children's privacy seriously and is committed to compliance with the U.S. Children's Online Privacy Protection Act ("COPPA"), 15 U.S.C. §§ 6501–6506, and its implementing regulations at 16 C.F.R. Part 312.

8.1 Parental Consent as the Basis of Processing

KindEye is designed to be used by parents and legal guardians to monitor their own minor children. The parent or legal guardian is the KindEye "user" and "customer," and is the party that establishes the account, provides consent, and receives reports. The child is not a user of the Service.

By creating an account and deploying the KindEye client software on a device used by your minor child, you represent and warrant that you are the parent or legal guardian of that child and that you consent, in your capacity as the child's legal representative, to the collection, use, and processing of the child's device activity data as described in our Privacy Policy and these Terms.

8.2 Data Collection Regarding Children

The Service may collect data about the minor child's device activity, including but not limited to screenshots, browser history, application usage, and DNS queries. All such data is collected under the authority and direction of the parent or legal guardian.

8.3 Right to Review and Delete

As the parent or legal guardian, you have the right at any time to:

  • Review the personal information collected from or about your child through the Service;
  • Request deletion of your child's personal information;
  • Refuse further collection of personal information from your child by discontinuing use of the Service.

To exercise these rights, contact KindEye using the information in Section 19. KindEye will process verified deletion requests promptly and in accordance with applicable law.

8.4 No Direct Collection from Children

KindEye does not market the Service to children, does not knowingly allow children to create accounts, and does not knowingly collect personal information directly from children outside the parental monitoring context described above.


9. Intellectual Property

9.1 KindEye's Intellectual Property

The Service, including but not limited to all software, source code, object code, algorithms, models, prompts, user interfaces, designs, trademarks, logos, documentation, and content created by KindEye (collectively, the "KindEye IP"), is and shall remain the exclusive property of KindEye and its licensors. The KindEye IP is protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

Subject to your compliance with these Terms, KindEye grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the KindEye client software and access the Service solely for your personal, non-commercial parental monitoring purposes. No other rights are granted.

9.2 Your Data

As between you and KindEye, you retain all right, title, and interest in and to the data you submit to the Service and the data collected from devices you lawfully administer ("Customer Data"). You grant KindEye a limited, worldwide, royalty-free license to host, store, process, transmit, analyze (including via AI models), and display Customer Data solely for the purpose of providing and improving the Service to you, and as otherwise described in our Privacy Policy.

9.3 Feedback

If you provide KindEye with suggestions, ideas, or feedback about the Service, you grant KindEye a perpetual, irrevocable, royalty-free, worldwide license to use and incorporate such feedback without obligation to you.


10. User Conduct

In addition to the restrictions in Section 7, you agree not to:

  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of the Service, except to the extent such restriction is expressly prohibited by applicable law;
  • Modify, adapt, translate, or create derivative works of the Service;
  • Remove, alter, or obscure any copyright, trademark, or other proprietary notices;
  • Rent, lease, loan, sell, resell, sublicense, distribute, or otherwise transfer the Service to any third party;
  • Use the Service to build a competing product or service, or to benchmark or copy its features;
  • Interfere with, disrupt, or impair the integrity, performance, or security of the Service or any related infrastructure;
  • Introduce any viruses, worms, malware, or other malicious code into the Service;
  • Attempt to gain unauthorized access to the Service, other user accounts, or KindEye's systems;
  • Use automated means (bots, scrapers, crawlers) to access the Service, except as expressly permitted;
  • Use the Service in any manner that could damage, disable, overburden, or impair it, or interfere with any other party's use.

11. Termination

11.1 Termination by You

You may cancel your subscription and terminate your account at any time through the account dashboard or by contacting customer support. Upon cancellation, you will retain access to paid features until the end of the current billing period. Free tier accounts may be closed at any time.

11.2 Termination by KindEye

KindEye may suspend, restrict, or terminate your access to the Service, with or without notice, if we determine in our reasonable discretion that:

  • You have materially breached these Terms;
  • You have engaged in any abusive, fraudulent, unlawful, or harmful conduct;
  • You have misused the Service for non-consensual surveillance, stalking, or any prohibited purpose described in Section 7;
  • You are located in or have become a resident of a prohibited jurisdiction;
  • Continued provision of the Service to you would expose KindEye to legal or regulatory risk;
  • We cease offering the Service in your jurisdiction.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. KindEye may delete your account data in accordance with its data retention and Privacy Policy. Sections which by their nature should survive termination (including but not limited to Sections 9, 12, 13, 14, 15, 16, and 17) shall survive.


12. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, KINDEYE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  • WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE;
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED ANALYSIS, ALERT, OR REPORT.

NO GUARANTEE OF CHILD SAFETY. YOU EXPRESSLY ACKNOWLEDGE THAT KINDEYE DOES NOT GUARANTEE THE SAFETY OF ANY CHILD AND DOES NOT PROMISE TO DETECT OR PREVENT ALL ONLINE DANGERS, INCLUDING BUT NOT LIMITED TO CYBERBULLYING, PREDATORY CONTACT, EXPOSURE TO INAPPROPRIATE CONTENT, SELF-HARM CONTENT, SUBSTANCE ABUSE, OR OTHER RISKS. PARENTS AND GUARDIANS REMAIN SOLELY AND ULTIMATELY RESPONSIBLE FOR THE SAFETY, SUPERVISION, AND WELL-BEING OF THEIR CHILDREN.

AI LIMITATIONS. YOU ACKNOWLEDGE THAT AI ANALYSIS IS INHERENTLY PROBABILISTIC AND MAY PRODUCE INACCURATE, INCOMPLETE, OR MISLEADING RESULTS. YOU AGREE NOT TO RELY SOLELY ON AI-GENERATED OUTPUT IN MAKING DECISIONS ABOUT YOUR CHILD'S SAFETY OR WELL-BEING.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.


13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL KINDEYE, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE, THESE TERMS, OR ANY INABILITY TO USE THE SERVICE, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF KINDEYE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

AGGREGATE CAP. WITHOUT LIMITING THE FOREGOING, KINDEYE'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES ACTUALLY PAID BY YOU TO KINDEYE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

NO LIABILITY FOR CHILD HARM. YOU EXPRESSLY AGREE THAT KINDEYE SHALL NOT BE LIABLE FOR ANY HARM, INJURY, LOSS, OR DAMAGE SUFFERED BY ANY CHILD OR RESULTING FROM ANY CONTENT, CONTACT, CONDUCT, OR THREAT THAT THE SERVICE DID NOT DETECT, PREVENT, OR PROPERLY ANALYZE. THE ALLOCATION OF RISK SET FORTH IN THIS SECTION IS A FUNDAMENTAL ELEMENT OF THE BARGAIN BETWEEN YOU AND KINDEYE.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you in full.


14. Indemnification

You agree to defend, indemnify, and hold harmless KindEye and its affiliates, officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:

  • Your access to or use of the Service;
  • Your violation of these Terms;
  • Your violation of any applicable law or the rights of any third party, including privacy, wiretapping, or surveillance laws;
  • Your use of the Service to monitor any person other than a minor child for whom you are the parent or legal guardian;
  • Your use of the Service on any device you do not own or lack authority to administer;
  • Any false representation made by you regarding eligibility, residency, or parental status;
  • Any Customer Data you submit or cause to be collected through the Service.

KindEye reserves the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with KindEye's defense of such claim.


15. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of Bulgaria, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

Subject to the arbitration provisions in Section 16, you and KindEye agree that any judicial proceeding permitted under these Terms (including actions to compel arbitration, enforce arbitration awards, or adjudicate intellectual property disputes) shall be brought exclusively in the state or federal courts located in Varna, Bulgaria, and each party irrevocably consents to the personal jurisdiction and venue of such courts.


16. Arbitration Clause

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND REQUIRES MOST DISPUTES TO BE RESOLVED BY BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT.

16.1 Agreement to Arbitrate

Except as set forth in Section 16.2, you and KindEye agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator, in the English language, and seated in Varna, Bulgaria, or via remote proceedings where permitted by the AAA rules. The arbitrator's decision shall be final and binding and judgment on the award may be entered in any court of competent jurisdiction.

16.2 Exceptions

The following are excluded from mandatory arbitration:

  • Claims for injunctive or equitable relief to prevent actual or threatened infringement, misappropriation, or violation of intellectual property rights;
  • Small claims court actions for individual Disputes within that court's jurisdiction;
  • Any claim that, as a matter of law, cannot be subject to mandatory arbitration.

16.3 Informal Dispute Resolution

Before initiating arbitration, you agree to first contact KindEye in writing and attempt in good faith to resolve the Dispute informally for a period of at least thirty (30) days.

16.4 Fees

The allocation of arbitration fees shall be governed by the AAA Consumer Arbitration Rules and applicable law.

16.5 Opt-Out

You may opt out of this arbitration agreement by sending written notice to KindEye at the contact address in Section 19 within thirty (30) days of first accepting these Terms. Your notice must include your name, address, account email, and a clear statement that you wish to opt out of arbitration.


17. Class Action Waiver

YOU AND KINDEYE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and KindEye agree otherwise in writing, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding. You and KindEye waive any right to a trial by jury.

If a court or arbitrator decides that any part of this class action waiver is unenforceable with respect to a particular claim or request for relief, that claim or request shall be severed and adjudicated in court, but the remainder of this Section 17 and Section 16 shall remain in full force and effect.


18. Changes to Terms

KindEye reserves the right to modify these Terms at any time in its sole discretion. If we make material changes, we will provide notice by:

  • Posting the updated Terms on our website with a new "Last Updated" date;
  • Sending a notification to the email address associated with your account; and/or
  • Displaying an in-product notice.

Material changes will become effective no earlier than thirty (30) days after such notice is provided, unless a shorter period is required by law or necessary to address a security or legal issue. Non-material changes (such as clarifications or typographical corrections) may take effect immediately.

Your continued use of the Service after the effective date of any updated Terms constitutes your acceptance of the revised Terms. If you do not agree with the changes, your sole and exclusive remedy is to discontinue use of the Service and cancel your subscription.

20. Miscellaneous

Entire Agreement. These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and KindEye regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect.

No Waiver. KindEye's failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or any rights hereunder without KindEye's prior written consent. KindEye may freely assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.

Force Majeure. KindEye shall not be liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility outages, or governmental actions.

Headings. Section headings are for convenience only and shall not affect the interpretation of these Terms.

Language. These Terms are drafted in English. Any translation is provided for convenience only, and the English version shall control in the event of any conflict.


BY CLICKING "I AGREE," CREATING AN ACCOUNT, OR OTHERWISE USING THE KINDEYE SERVICE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
